Business Law

Whether you have been in business for a long time or you are an entrepreneur with a start-up, let us help you create the right business entity to meet your asset protection and tax needs. Our corporate lawyers believe that a one-size-fits-all approach does not serve our clients' best interests. Working with you and your accountant, our lawyers will give you options and make sure that the legal paperwork is done correctly. Here are some of the business entity types we will evaluate based on your individual needs:

  • Sole Proprietorships
  • "C" Corporations
  • "S" Corporations
  • Partnerships
  • Limited Partnerships
  • Limited Liability Companies

And if your business is already operating as one type of entity, let our skilled corporate group re-evaluate your structure for you. We often find that clients can obtain greater asset protection, operating flexibility, and/or tax savings by changing to a different legal entity.

AGREEMENTS
Our lawyers draft, negotiate and assist in the execution of all types of contracts. The key to this area of practice is to clearly communicate the intent of the parties in a written document with an understanding of the law that governs the subject of the contract. Again, experience is the key to success in this area. From real estate sales agreements to contracts to effect a merger or asset purchase and sale, our lawyers have the experience to draft a document that will stand the test of time

BANKING LAW
Our law firm has served as counsel to banking enterprises since the firm was founded. Our experience in this area includes serving as general counsel to the Gwinnett Federal Saving & Loan Association, later known as the Gwinnett Federal Savings Bank, for more than 50 years. We continue to represent Brand Banking Company and many other local banks. Our specialty in this area is insuring that our client banks operate without the interference of legal obstacles. Our principal goal is to protect and collect our client banks’ assets efficiently. Our experience is that banks require lawyers with general experience in all practice areas; we offer that level of experience.

WTPM&W has superior history in rendering services necessary for successful bank operations including collection of debts, regulatory compliance, review of contracts, commercial paper and checking, securing transactions for real estate and commercial loans, drafting and updating forms for everyday operations, foreclosure on real and personal property, and issuing opinions on annual audits. Representative cases in this area include the following:

BUSINESS FORMATION AND OPERATING ORGANIZATIONS
The choices for setting up and operating your business are virtually unlimited and include corporations, partnerships, limited partnerships and limited liability companies. Our business law group is charged with helping you select the best form to meet your business’ goals. Our lawyers have extensive knowledge in the many aspects of ownership, control, management, economics and tax issues that typically arise during the creation and operation of private business entities. We also regularly assist our clients in equity redemptions and divestitures, dispositions and transfers of business interests after death or termination of employment and contentious business “divorces.”

COMMERCIAL LAW
The Firm has substantial experience in the drafting and negotiation of vendor, supply, manufacturing and professional services contracts. We regularly assist our business clients in the success of their businesses by providing efficient and effective legal services related to the commercial aspects of their operations.

LANDLORD AND TENANT
Although primarily oriented to representing landlords, we have extensive experience in negotiating and enforcing leases. Our lawyers know how to collect rent and remove parties that have failed to pay on time. In addition to disputes over rents, we have represented parties that are seeking to enforce other obligations contained in a lease. One of the largest judgments in our firm’s history was the representation of representing a tenant who was the victim of a landlord’s breach of lease.
